Read the Coaching Agreement
This COACH AGREEMENT (this “Agreement”) executed on the date set forth below by the undersigned veteran volunteer (the “Coach”) in favor of STAND BESIDE THEM, INC., a nonprofit corporation (“SBT”), and its directors, officers, employees, agents, coaches, volunteers, interns, contractors and subcontractors, and their respective successors and assigns (collectively, the “SBT Parties”).
Coach will provide coaching or other services to SBT for veterans desiring such services (each a “Coachee”). Coach understands that the activities are intended to help veterans or their family members successfully achieve reintegration in work, family and the community. Coach understands that such activities will not include providing any mental health counseling or any form of psychological or psychiatric assistance to SBT.
Inasmuch as Coach desires to provide services to SBT, Coach understands that no compensation or other payment is expected in return for participation by Coach; and that SBT will not provide any benefits traditionally associated with employment to Coach. In addition, Coach acknowledges that SBT is not responsible for providing any insurance coverage to Coach.
Coach with full knowledge of his or her rights does hereby freely, voluntarily, and without duress execute this Agreement under the following terms:
Assumption of the Risk. Coach understands that the activities in SBT’s programs include working with veterans to help them achieve successful reintegration in work, family, and community environments; that such activities may include assisting them in career goals, starting new businesses, achieving educational goals, improving personal relationships, applying for benefits, assessing for new vocations, or locating health care to fully meet their needs. Coach hereby expressly assumes the risk of injury or harm from these activities and releases the SBT Parties from all liability for injury, illness, death or property damage resulting from the services Coach provides or occurring while Coach is providing services to SBT and its Coachees.
Age of Coach. Coach represents that he/she is at least twenty-one years of age.
Photographic Release. Coach does hereby grant and convey unto SBT all right, title, and interest in any and all photographic images and video or audio recordings made by SBT of Coach in connection with Coach’s participation with SBT, including, but not limited to, any royalties, proceeds or other benefits derived from such photographs or recordings. Note that SBT does not plan to record or videotape any private coaching sessions, as such sessions are to be confidential.
Confidentiality of Sessions. All coaching sessions provided by Coach will be confidential and all information obtained by Coach from Coachee during such sessions will not be shared with any party besides SBT; except under circumstances when there are indications of potential self-harm or harm to others or as otherwise required by applicable law.
Assignment of Creative Works. In connection with his or her involvement with SBT, Coach hereby assigns to SBT all right, title and interest in and to any testimonials, written works, electronic media, photographs, video, artwork or other creative works produced or created for SBT at the request of SBT (collectively, “Works”), including any registrations and copyright applications relating thereto and any renewals and extensions thereof, and in and to all works based upon, derived from, or incorporating the Works, and in an to all income, royalties, damages, claims and payments now or hereafter due or payable with respect thereto, and in and to all causes of action, either in law or in equity for past, present, or future infringement based on the copyrights in the Works, and in and to all rights corresponding to the foregoing throughout the world. If requested by SBT, Coach shall take all reasonably necessary steps to perfect SBT’s interest in the foregoing assignments, including but not limited to executing all papers and performing all such other proper acts as SBT may deem necessary to secure for itself the rights herein assigned.
Attendance. Coach will make every effort to be present at previously-agreed times and dates for their coaching sessions or give at least 24-hour cancellation notice to SBT by email, text, or voicemail prior to rescheduling. Repeated missed appointments may result in termination from the program.
Mutual Right to Terminate. Notwithstanding anything herein to the contrary, SBT and Coach shall each have the right to terminate this Agreement upon five (5) days written notice to the other party.
Other. Coach expressly agrees that this Agreement is intended to be as broad and inclusive as permitted by the laws of the State of Delaware, and that this Agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware. Coach agrees that in the event that any clause or provision of this Agreement shall be held to be invalid by any court of competent jurisdiction, the invalidity of such clause or provision shall not otherwise affect the remaining provisions of this Agreement which shall continue to be enforceable. Coach represents that Coach has the full right, power and authority to enter into and execute this Agreement.
